Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of LEADSORBIT's website and platform (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Services.

2. Plans & No-Trial Policy

LEADSORBIT offers the following plans:

• LEADSORBIT Pro
• Growth AI
• Unlimited AI

No trial: LEADSORBIT does not offer a free trial. Access requires an active paid subscription.

3. Account Registration & Security

You agree to provide accurate information when creating an account and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.

4. Billing, Usage Charges & Taxes

Subscription billing: Subscription fees are billed in advance on a monthly or annual basis (as selected).

Usage based charges: Certain features may incur usage based charges, including but not limited to SMS, phone calls, email sending, and other metered/consumed services. Usage based charges are billed based on consumption and are non-refundable once used.

Taxes: You are responsible for applicable taxes, duties, or government fees.

You authorize LEADSORBIT and its payment processors to charge your payment method for fees and applicable taxes.

5. Setup / Onboarding Fees

If setup/onboarding fees apply, they will be disclosed at checkout or in an order form. Setup fees are non-refundable.

6. Refund Policy (14-Day Money Back Guarantee)

LEADSORBIT offers a 14-day money back guarantee for first time purchases only.

7. Cancellation, Access & Data Retention (90 Days)

You may cancel your subscription at any time from your account (if available) or by contacting support.

Access until billing date: If you cancel before your next billing date, you may continue using the Services until the end of your current billing period.

Billing date behavior: On your renewal date, if you do not renew, your account may enter an inactive/billing only state and you may be routed to the billing page to update or reactivate your subscription.

Data retention: If your subscription is canceled or not renewed, LEADSORBIT retains account data (including leads and automation related data) for 90 days to allow reactivation. After 90 days, data may be permanently deleted and may not be recoverable.

8. Customer Responsibilities (Consent & Compliance)

You are responsible for:

• Your content, contacts, and data uploaded to LEADSORBIT ("Customer Content")
• Obtaining required consents and providing legally required notices to your leads/customers/end users
• Complying with applicable laws and regulations, including messaging/marketing laws (such as TCPA, CAN-SPAM, CASL, and similar rules)
• Managing opt out requests and honoring consent preferences

LEADSORBIT does not provide legal advice. You agree to use the Services only in lawful ways.

9. Customer Content & Data Roles (Controller vs Processor)

Ownership: You retain ownership of your Customer Content.

License: You grant LEADSORBIT a limited license to host, process, transmit, and display Customer Content only as necessary to provide the Services, support you, maintain security, prevent abuse/fraud, and improve reliability.

Processor/service provider role: When you use LEADSORBIT to store or process information about your leads/customers/end users, you act as the controller/business, and LEADSORBIT acts as a processor/service provider processing that data under your instructions and as described in our DPA (where applicable).

10. Sub-Processors & Platform Infrastructure Partners (Disclosure)

To deliver core functionality (including hosting, communications, analytics, and support tools), LEADSORBIT may use sub-processors and platform infrastructure partners. These providers may process limited data only to provide services to LEADSORBIT and are restricted by contract.

Where applicable, LEADSORBIT's sub-processor list may include infrastructure/service partners such as LeadConnector LLC and/or HighLevel Inc. Supporting details and updates are available on our Sub-processors page and in our DPA.

11. AI Features (No Public/General Model Training)

Some features may use AI to assist your workflows.

• We do not use customer data to train generalized, public AI models.
• You are responsible for reviewing AI outputs before using or sending them.

12. Third Party Services & Integrations

If you connect third party services (calendars, email providers, ad platforms, apps, etc.), you authorize LEADSORBIT to exchange data with those services. Third party services are governed by their own terms and privacy policies. LEADSORBIT is not responsible for third party services.

13. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, deceptive, or fraudulent activity
• Send spam or violate consent/opt out rules
• Upload malware or attempt unauthorized access
• Infringe intellectual property rights
• Reverse engineer the Services or resell access except under an approved agreement

We may suspend or terminate accounts for violations.

14. Disclaimers

The Services are provided "as is" and "as available," to the fullest extent permitted by law. LEADSORBIT does not guarantee uninterrupted service, carrier delivery rates, third-party service availability, or specific business outcomes.

15. Limitation of Liability (Plan Duration Based)

To the maximum extent permitted by law:

• If you are on a monthly plan, LEADSORBIT's total liability will not exceed one (1) month of subscription fees paid.
• If you are on an annual plan, LEADSORBIT's total liability will not exceed twelve (12) months of subscription fees paid.

LEADSORBIT will not be liable for any indirect, incidental, special, consequential, or punitive damages.

16. Indemnification

You agree to indemnify and hold harmless LEADSORBIT from claims arising out of:

• Your Customer Content
• Your marketing/messaging practices
• Your violation of law or third-party rights
• Your misuse of the Services

17. Governing Law

These Terms are governed by the laws of California, USA, without regard to conflict of law principles.
